1. Acceptance of Terms

By accessing or using Nepfa ("the Platform"), operated by Nepfa Group Private Limited, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Nepfa Group Private Limited.

2. Description of Service

Nepfa is an online marketplace platform that connects buyers with verified sellers and authentic brands in Nepal. We provide a platform accessible via web browsers and mobile applications (iOS and Android) for browsing, purchasing, and reviewing products including electronics, fashion, beauty, groceries, and more. We facilitate transactions but are not a party to the sale agreement between buyers and sellers unless otherwise stated.

3. Account Registration

• You must be at least 16 years old to create an account
• You may register using your email/phone number or through Google Sign-In or Apple Sign-In
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• One person may not maintain multiple accounts without prior authorization
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Ordering and Payments

4.1 Placing Orders

• All orders are subject to product availability and acceptance by the seller
• Prices are displayed in Nepalese Rupees (NPR) and include applicable taxes unless stated otherwise
• We reserve the right to cancel orders due to pricing errors, stock issues, or suspected fraud
• Coupons and promotional discounts are subject to specific terms and validity periods

4.2 Payments

• We accept payments through Fonepay, eSewa, and cash on delivery (COD)
• Online payment processing is handled by secure third-party payment providers — we do not store your card or bank details
• You agree to pay the total amount including product price, delivery fee, and any applicable charges
• Payment must be completed before order processing for online payment methods

5. Delivery

• Delivery is available within serviceable areas in Nepal
• Delivery timelines are estimates and may vary based on location and product availability
• You must provide an accurate and complete delivery address with a reachable contact number
• Risk of loss transfers to you upon delivery of the product
• We are not liable for delays caused by factors beyond our control (natural disasters, strikes, etc.)
• Delivery is handled by Nepal Can Move, with daily seller pickups and nationwide last-mile delivery

6. Returns and Refunds

• Products may be returned within 7 days of delivery, subject to our return policy
• Items must be unused, in original packaging, and in the same condition as received
• Certain products (perishables, personal hygiene items, customized products, undergarments) are non-returnable
• Refunds will be processed within 7-14 business days after we receive and verify the returned item
• Refunds are issued to the original payment method or as store credit
• Return shipping may be arranged through our delivery partners at no additional cost for eligible returns

7. Reviews and User Content

• You may post reviews only for products you have purchased and received
• Reviews must be honest, relevant, and not contain offensive or inappropriate content
• You may upload up to 5 photos per review
• By posting a review, you grant us a non-exclusive license to display it on the Platform
• We reserve the right to remove reviews that violate our policies
• You may edit or delete your reviews at any time

8. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Post false, misleading, or fraudulent reviews or content
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorized access to other accounts or systems
• Use automated tools to scrape or extract data from the Platform
• Harass, threaten, or abuse other users or sellers
• Circumvent any security or authentication measures
• Create multiple accounts to abuse promotions or coupons

9. Push Notifications

By enabling notifications, you consent to receive push notifications regarding order updates, delivery status, promotional offers, and account alerts. You may disable notifications at any time through your device settings without affecting your use of the Platform.

10. Intellectual Property

All content on the Platform, including logos, text, graphics, images, and software, is the property of Nepfa Group Private Limited or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law, Nepfa Group Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you for the specific transaction giving rise to the claim. We are not responsible for the quality, safety, or legality of products listed by sellers.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Product warranties are provided by respective sellers or manufacturers.

13. Indemnification

You agree to indemnify and hold harmless Nepfa Group Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of the Platform.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. We will notify you of significant changes via push notification or email.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nepal.

16. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
